Terms of Service

These Terms of Service govern your access to and use of Sellco.ai, including our websites, applications, dashboards, APIs, Model Context Protocol servers, integrations, artificial-intelligence features, analytics, automation tools, and related services collectively referred to as the “Services.”

By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you use the Services on behalf of a company or another organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Services.

Sellco.ai provides software designed to help Amazon sellers, vendors, brands, and agencies analyze and manage ecommerce operations. Features may include sales analytics, advertising and campaign reporting, inventory information, profitability metrics, keyword analysis, pricing information, automation, AI-assisted recommendations, and integrations with supported third-party platforms.

• You must provide accurate and current account information.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for activity performed through your account, except where prohibited by applicable law.
• You must notify us promptly if you suspect unauthorized access.
• You must be legally capable of entering into a binding agreement.

Some features require you to connect an Amazon Seller Central, Vendor Central, Amazon Ads, or other third-party account. You authorize Sellco.ai to access and process information from connected accounts only as necessary to provide the Services.

You represent that you have the authority and permissions necessary to connect each account and access its data. Your use of Amazon and other third-party services remains subject to their respective agreements and policies.

We are not responsible for third-party outages, API changes, restrictions, inaccuracies, suspensions, or discontinued access.

Sellco.ai may allow you to connect your account to ChatGPT or other MCP-compatible AI clients. When you enable an integration, requests may be transmitted between the AI client and Sellco.ai to perform authorized operations and return relevant information.

You are responsible for reviewing requested permissions and the output produced through an AI client. You must not share passwords, API keys, access tokens, one-time passwords, or other authentication secrets through prompts unless the applicable authentication process expressly requires and securely supports them.

You may disconnect an integration using the available Sellco.ai or third-party account controls.

AI-generated analysis, forecasts, recommendations, and other output may be incomplete, delayed, or inaccurate. They are provided for informational purposes and should not be treated as guaranteed results, legal advice, tax advice, financial advice, or professional advertising advice.

You are responsible for verifying important information before changing prices, budgets, bids, campaigns, listings, inventory plans, or other business settings.

Certain features may create or modify campaigns, bids, budgets, pricing, listings, rules, schedules, or other account settings. You are responsible for reviewing the scope and expected effect of an action before authorizing it.

Where confirmation or preview controls are available, you should use them before approving significant or irreversible actions.

You may not use the Services to:

• Violate any applicable law or third-party agreement.
• Access another person’s account or data without permission.
• Circumvent authentication, authorization, usage limits, or security controls.
• Introduce malicious code or interfere with the operation of the Services.
• Scrape, reverse engineer, copy, resell, or exploit the Services except where expressly permitted.
• Use the Services to create fraudulent, deceptive, abusive, or unlawful advertising or marketplace activity.
• Extract or expose passwords, tokens, confidential information, or another customer’s data.

Paid plans, pricing, billing periods, feature limits, and applicable taxes are presented at the time of purchase. By purchasing a paid plan, you authorize the applicable payment method to be charged according to the selected billing cycle.

Subscriptions may renew automatically unless cancelled before the renewal date. Cancellation normally stops future renewal and does not retroactively refund charges already paid, except where required by law or expressly stated in an applicable order form or refund policy.

We may change pricing or plan features by providing notice as required by applicable law. Enterprise or custom agreements may contain additional or conflicting terms, in which case the signed agreement will control.

As between you and Sellco.ai, you retain your rights in the business data you provide or authorize us to access. You grant Sellco.ai the limited rights necessary to host, process, transmit, analyze, and display that data to provide, secure, maintain, and improve the Services.

Our handling of personal information is described in our Privacy Policy.

Sellco.ai and its licensors retain all rights in the Services, including the software, design, interfaces, documentation, branding, models, workflows, and related intellectual property.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for your internal business purposes during your subscription or authorized access period.

We may modify, suspend, restrict, or discontinue features when reasonably necessary for maintenance, security, legal compliance, third-party platform changes, or product development.

We do not guarantee that the Services will always be uninterrupted, error-free, or compatible with every marketplace, account, AI client, or third-party API.

We may suspend or terminate access when we reasonably believe that an account violates these Terms, creates security or legal risk, causes harm to another party, or has overdue undisputed charges.

You may stop using the Services and cancel your subscription through the available account controls or by contacting support.

To the maximum extent permitted by law, the Services are provided “as is” and “as available.” Sellco.ai disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

Sellco.ai does not guarantee increased sales, advertising performance, ranking, profitability, inventory availability, Buy Box performance, or any other business outcome.

To the maximum extent permitted by applicable law, Sellco.ai and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, advertising spend, or business opportunities.

To the maximum extent permitted by law, Sellco.ai’s aggregate liability arising from the Services will not exceed the amount you paid to Sellco.ai for the Services during the twelve months preceding the event giving rise to the claim.

To the extent permitted by law, you agree to indemnify and hold Sellco.ai harmless from third-party claims resulting from your unlawful use of the Services, your violation of these Terms, your content or data, or your lack of authority to connect an account.

These Terms are governed by the laws of TODO: Add state and country, without regard to conflict-of-law principles. Any dispute will be handled by the courts or dispute-resolution process applicable in that jurisdiction, unless applicable law requires otherwise.

We may update these Terms periodically. We will publish the revised version with a new effective date and provide additional notice when required by law. Continued use after the effective date constitutes acceptance of the updated Terms.
